Short version: AetherTime is commercial software. You pay once and the edition you bought keeps working. Updates are included for a year, then optional. Your data is yours and never becomes inaccessible. The source code is MIT-licensed; the pre-built app is governed by these terms.
AetherSol ("Licensor") licenses the AetherTime desktop application ("Software") to you ("Licensee") subject to the terms below. By downloading, installing, or using the Software, you agree to this agreement. If you do not agree, do not download or use the Software.
AetherTime is licensed in editions. Each paid edition is a perpetual license: you pay once and the edition you bought keeps working. What changes over time is only your access to new updates (see §4) and, for a trial, your access to editing (see §1.4).
Upon payment of the Solo license fee, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and use the Software on one computer for use by one natural person, with the feature set designated "Solo" in the Software.
Upon payment of the Pro license fee, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and use the Software on one computer for use by one natural person, with the feature set designated "Pro" in the Software. Pro includes all Solo features.
AetherTime Enterprise is a separate, multi-user product, still in development at the date of this agreement. It is not licensed under this EULA. Terms for Enterprise will be provided separately if and when it is released.
Without payment, Licensor grants a non-exclusive, non-transferable, temporary license to use the Software for a period of thirty (30) days from first launch (the "Trial Period"). The Trial Period provides the Pro feature set.
When the Trial Period ends and no paid license has been activated, the Software does not delete your data and does not stop opening. It becomes read-only: you may continue to view, export, and back up your data, but you may not create or modify tasks, projects, time entries, or other records until a paid license is activated. The trial is anchored to the local database's first-launch date; deleting the application or its files does not reset it.
Licensor may, at its discretion, issue a license to a named beta tester. A beta grant provides the Pro feature set for ninety (90) days, after which the Software becomes read-only as described in §1.4 unless replaced by a paid license.
A purchased Solo license provides the Pro feature set for thirty (30) days from activation. After that period, the license continues as Solo permanently. This is not a trial; the Solo license never expires and the Software never becomes read-only on a paid license.
This agreement grants single-user licences only. A license is issued to one named person. Licensor does not license a shared database file for simultaneous use by multiple people under this EULA. You may use the Software's export features to share data, and you may place your own data file in a folder you control, but multi-user access with accounts, roles, or permissions is an Enterprise feature and is not granted here.

The source code for the Software is licensed under the MIT License (see LICENSE in the repository root). That open-source license applies only to the source code. Pre-built binary distributions of the Software are governed by this EULA, not the MIT License. Anyone who obtains the source and builds the Software themselves holds a copy governed by the MIT License.
Each paid license includes access to new updates for one (1) year from the date of purchase. After that year, the Software continues to function at the version last installed, at its licensed edition. Nothing stops working and no data becomes inaccessible.
Renewal of the update period is optional. If you do not renew, you keep using the version you have. Renewal terms and pricing are offered at Licensor's discretion, and Licensor reserves the right to change renewal pricing.
The Software does not update itself and does not require you to update. The only network request the Software makes is an optional, user-triggered update check. If you do not run it, no update is installed.
The Software's optional AI-assisted features ("AetherPilot") are off by default. When enabled, you choose the model provider. Licensor does not operate a model service and does not receive your data through these features.
If you configure a third-party model, you supply your own account, key, or endpoint. Your use of that provider is governed by that provider's terms and privacy policy, not this EULA. Licensor is not a party to that relationship and is not responsible for a third party's handling of data you choose to send it.
You may configure a model running on your own hardware or network. In that configuration, no data leaves your environment.
You are responsible for choosing an appropriate provider and for any data you elect to send to it. The Software's local classification, matter matching, and time-estimation features do not require a third-party model and operate without one.
The Software operates locally. It does not collect, transmit, or store personal data on Licensor's servers as part of normal use, and it contains no telemetry or analytics. The only network request the Software makes is an optional manual check for updates, triggered by you. During the private beta, that check may also send a minimal diagnostic record (operating system, application version, and license holder name) to aethersol.io to help diagnose installation problems; this is removed in the public release. See the Privacy Policy for full details.
Your data is stored on your own machine or removable drive. Licensor has no access to it. If your license lapses, expires, or becomes read-only, your data remains fully available to you for viewing, export, and backup. Licensor does not hold your data and cannot withhold it.
You are responsible for backing up your own data. The Software provides local rotating backups and Excel/CSV export to assist you, but Licensor is not responsible for data loss, including loss caused by hardware failure, drive removal, sync conflicts, or a user's own configuration.
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not transfer any ownership rights to Licensee. Your data remains yours.
This EULA is effective until terminated. It terminates automatically without notice if Licensee materially fails to comply with any provision, including the restrictions in §2. Upon termination, Licensee must cease all use of the Software and destroy all copies. Termination does not affect your ability to retrieve data you have already exported.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH LICENSEE.
The Software performs estimation and classification. Its time-savings figures are estimates, not audited measurements, and its AI-assisted features may produce incorrect output. You are responsible for reviewing any recommendation before relying on it. See the Software's documentation on how time savings are calculated.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT LICENSEE ACTUALLY PAID FOR THE LICENSE.
This EULA shall be governed by the laws of the State of Texas, United States, without regard to its conflict of laws provisions.
Licensor may update this EULA for future releases. The version in effect when you purchased your license governs your purchase. The current version is always available at https://aethersol.io/eula.html.
